١. المقدمة / Preamble
بموجب هذه الاتفاقية (“اتفاقية الترخيص”)، والمبرمة بين شركة كاي لحلول الأعمال (CHI Business Solutions)، وهي شركة مسجلة رسميًا وتعمل وفق أنظمة المملكة العربية السعودية (ويشار إليها لاحقًا بـ “المرخِّص”)،
وبين المستخدم الفرد أو الكيان الاعتباري الذي يقبل بهذه الشروط (ويشار إليه لاحقًا بـ “المرخَّص له” أو “المستخدم”)،
فقد تم الاتفاق على منح المستخدم حق استخدام برنامج إدارة الحراسات الأمنية المملوك والمطور من قبل شركة كاي لحلول الأعمال، وفقًا للشروط والأحكام الموضحة في هذه الاتفاقية.
تمثل هذه الاتفاقية الإطار القانوني الذي يحكم العلاقة بين الطرفين فيما يتعلق باستخدام البرمجية وخدماتها المرافقة، وتشكل قبول المستخدم لشروطها موافقة صريحة وملزمة قانونًا.
This Software License Agreement (“Agreement”) is made and entered into by and between CHI Business Solutions, a company duly registered and operating under the laws of the Kingdom of Saudi Arabia (hereinafter referred to as the “Licensor”),
and the individual or legal entity who accepts these terms (hereinafter referred to as the “Licensee” or “User”).
The Licensor hereby grants the Licensee the right to use the Security Management Software owned and developed by CHI Business Solutions, subject to the terms and conditions set forth in this Agreement.
This Agreement constitutes a legally binding contract that governs the relationship between the parties regarding the use of the Software and related services. Acceptance of these terms represents the Licensee’s full consent and legal commitment.
٢. التعريفات / Definitions
لأغراض هذه الاتفاقية، يكون للمصطلحات التالية المعاني الموضحة أدناه ما لم يقتضِ السياق خلاف ذلك:

For the purposes of this Agreement, the following terms shall have the meanings set forth below unless the context requires otherwise:
٣. منح الترخيص / Grant of License
١. يمنح المرخِّص المرخَّص له ترخيصًا غير حصري وغير قابل للتحويل وغير قابل للترخيص من الباطن لاستخدام البرنامج خلال فترة الاشتراك المتفق عليها.
٢. لا يمنح هذا الترخيص أي حقوق ملكية فكرية للمرخَّص له، ولا يحق له نسخ أو تعديل أو توزيع أو إعادة بيع أو ترجمة أو تفكيك أو محاولة عكس هندسة (Reverse Engineering) البرنامج أو أي جزء منه.
٣. يلتزم المرخَّص له باستخدام البرنامج للأغراض المشروعة المتعلقة بإدارة الحراسات الأمنية فقط، وعدم استخدامه لأي أنشطة مخالفة للقانون أو النظام العام أو حقوق الغير.
٤. يجوز للمرخِّص تعديل شروط الترخيص أو تحديثها من حين لآخر، على أن يتم إشعار المستخدم عبر البريد الإلكتروني المسجل لديه.
٤. نطاق الاستخدام / Scope of Use
١. يُمنح الترخيص لاستخدام البرنامج داخل المملكة العربية السعودية وخارجها وفقًا لشروط الاشتراك النشطة.
٢. لا يجوز استخدام البرنامج إلا من قبل عدد المستخدمين أو الأجهزة المحدد في خطة الاشتراك المعتمدة.
٣. يحق للمستخدم الوصول إلى البرنامج عبر الإنترنت (SaaS) من خلال حسابه المصرّح به فقط، ولا يجوز له مشاركة بيانات الدخول مع أي طرف آخر.
٤. يحتفظ المرخِّص بالحق في مراقبة استخدام البرنامج لضمان الالتزام بشروط هذه الاتفاقية.
بين:
شركة كاي لحلول الأعمال (CHI Business Solutions)،
وهي شركة سعودية متخصصة في تطوير الأنظمة البرمجية المتكاملة لإدارة الحراسات الأمنية، مسجلة رسميًا في المملكة العربية السعودية، ويُشار إليها فيما بعد بـ “المرخِّص“ أو “الشركة“.

العميل / المستخدم النهائي (ويُشار إليه فيما بعد بـ “المرخَّص له“ أو “المستخدم“)، وهو الشخص أو الجهة التي تقبل شروط وأحكام هذه الاتفاقية وتستخدم أحد منتجات الشركة البرمجية.
المادة (1): التعريفات
1.1 تعريف البرمجية
البرمجية المقصودة بهذه الاتفاقية هي نظام إدارة الحراسات الأمنية المطوّر من قبل شركة كاي لحلول الأعمال (CHI Business Solutions)، والمصمم لإدارة وتشغيل ومتابعة أنشطة الحراسات الأمنية داخل المملكة العربية السعودية وخارجها، ويُشار إليه فيما بعد بـ “النظام“ أو “البرنامج“.
1.1 Software Definition
The software referred to in this Agreement is the Security Management System developed by CHI Business Solutions, designed to manage, operate, and monitor security guard operations within and outside the Kingdom of Saudi Arabia, hereinafter referred to as the “System” or the “Software.”
1.2 الترخيص (License)
الترخيص هو الإذن الممنوح من شركة كاي لحلول الأعمال للمرخَّص له باستخدام النظام وفقًا لشروط وأحكام هذه الاتفاقية، دون أن يمنح ذلك أي حق في ملكية الكود البرمجي أو التصميم أو العلامة التجارية.
1.2 License
The License is the permission granted by CHI Business Solutions to the Licensee to use the System in accordance with the terms and conditions of this Agreement, without transferring any ownership rights over the source code, design, or trademarks.
1.3 مدة الترخيص (License Term)
مدة الترخيص تكون سنوية أو شهرية حسب نوع الاشتراك الذي يختاره المرخَّص له، ويتم تجديده تلقائيًا ما لم يتم إشعار أحد الطرفين الآخر بالرغبة في الإنهاء قبل المدة المحددة.
1.3 License Term
The License term shall be either annual or monthly, depending on the subscription type selected by the Licensee. It shall automatically renew unless either party notifies the other of termination within the prescribed notice period.
المادة (2): نطاق الترخيص
2.1 الحق في الاستخدام
يمنح هذا الترخيص المرخَّص له الحق في استخدام النظام لأغراض إدارة وتشغيل أنشطة الحراسات الأمنية فقط، ولا يجوز استخدامه لأي غرض آخر دون إذن خطي مسبق من الشركة.
2.1 Right of Use
This License grants the Licensee the right to use the System solely for the purpose of managing and operating security guard activities. It may not be used for any other purpose without prior written consent from the Company.
2.2 عدم نقل الترخيص
لا يجوز للمرخَّص له بيع أو تأجير أو نقل أو إعادة ترخيص النظام إلى أي طرف ثالث.
2.2 Non-Transferability
The Licensee shall not sell, lease, transfer, or sub-license the System to any third party.
2.3 نطاق جغرافي
يسمح باستخدام النظام داخل المملكة العربية السعودية وخارجها، شريطة الالتزام بالقوانين والأنظمة المعمول بها في كل دولة.
2.3 Geographic Scope
The use of the System is permitted both within and outside the Kingdom of Saudi Arabia, provided compliance with applicable laws and regulations in each jurisdiction.
المادة (3): الملكية الفكرية
3.1 حقوق الملكية
جميع حقوق الملكية الفكرية، بما في ذلك الكود البرمجي، التصميمات، الواجهة الرسومية، الشعارات، قاعدة البيانات، والمحتوى النصي، محفوظة بالكامل لشركة كاي لحلول الأعمال (CHI Business Solutions).
3.1 Intellectual Property Rights
All intellectual property rights, including but not limited to the source code, designs, graphical interfaces, logos, databases, and textual content, are the sole property of CHI Business Solutions.
3.2 الحماية القانونية
يحظر تمامًا على المستخدم نسخ أو تعديل أو محاولة تفكيك النظام (Reverse Engineering) أو إعادة إنتاج أي جزء منه.
3.2 Legal Protection
The Licensee is strictly prohibited from copying, modifying, reverse-engineering, or reproducing any part of the System.
3.3 العلامة التجارية
لا يحق للمستخدم استخدام اسم الشركة أو شعارها لأغراض دعائية أو تجارية دون موافقة خطية مسبقة من الشركة.
3.3 Trademark Use
The Licensee may not use the company’s name or logo for promotional or commercial purposes without prior written consent from CHI Business Solutions.
المادة (4): الدعم الفني والصيانة
4.1 الدعم الفني
تلتزم الشركة بتقديم الدعم الفني المجاني طوال فترة الاشتراك من خلال البريد الإلكتروني: support@chi-bs.com.
4.1 Technical Support
The Company shall provide free technical support during the subscription period via the email address: support@chi-bs.com.
4.2 التحديثات والصيانة
يحق للشركة إجراء التحديثات الدورية للنظام لتحسين الأداء أو إصلاح الأخطاء دون إشعار مسبق للمستخدم.
4.2 Updates and Maintenance
The Company reserves the right to perform periodic updates to the System for performance enhancement or bug fixes without prior notice to the Licensee.
المادة (5): المسؤولية القانونية
5.1 حدود المسؤولية
لا تتحمل الشركة أي مسؤولية عن الأضرار غير المباشرة أو فقدان البيانات الناتجة عن سوء استخدام النظام أو الإهمال من طرف المستخدم.
5.1 Limitation of Liability
The Company shall not be liable for any indirect damages or loss of data resulting from misuse or negligence by the Licensee.
5.2 القوة القاهرة
لا تتحمل الشركة مسؤولية أي تأخير أو فشل في الأداء بسبب ظروف خارجة عن إرادتها مثل الكوارث الطبيعية أو انقطاع الخدمات العامة.
5.2 Force Majeure
The Company shall not be held liable for any delay or failure in performance due to circumstances beyond its reasonable control, including natural disasters or public service outages.
المادة (6): الإنهاء وإنهاء الترخيص
6.1 إنهاء الاشتراك
يجوز لأي من الطرفين إنهاء هذه الاتفاقية بإشعار كتابي رسمي عبر البريد الإلكتروني قبل (30) يومًا من تاريخ الإنهاء الفعلي.
يُعد الإشعار صحيحًا إذا أُرسل من البريد الإلكتروني الرسمي للشركة إلى البريد الإلكتروني المسجل للمستخدم، أو العكس.
6.1 Termination of Subscription
Either party may terminate this Agreement by providing a written notice via email at least thirty (30) days prior to the intended termination date.
Such notice shall be deemed valid if sent from the Company’s official email address to the Licensee’s registered email, or vice versa.
6.2 الإنهاء الفوري
يحق للشركة إنهاء الترخيص فورًا دون إشعار مسبق في الحالات التالية:

The Company reserves the right to immediately terminate the License without prior notice in the following cases:
6.3 الآثار المترتبة على الإنهاء
عند إنهاء الاتفاقية، يلتزم المستخدم بالتوقف الفوري عن استخدام النظام، ولا يحق له الاحتفاظ بأي نسخة منه أو من بياناته ما لم يتم الاتفاق كتابيًا على خلاف ذلك.
تحتفظ الشركة بحقها في حذف بيانات المستخدم بعد مرور (60) يومًا من الإنهاء ما لم يطلب العميل خلاف ذلك كتابيًا.
6.3 Consequences of Termination
Upon termination, the Licensee must immediately cease using the System and shall not retain any copy of it or its data unless otherwise agreed in writing.
The Company reserves the right to delete user data sixty (60) days after termination unless the client requests otherwise in writing.
المادة (7): السرية وحماية البيانات
7.1 التزام السرية
يتعهد كل طرف بالحفاظ على سرية المعلومات والبيانات المتبادلة بموجب هذه الاتفاقية، وعدم الكشف عنها لأي طرف ثالث دون موافقة خطية مسبقة من الطرف الآخر.
7.1 Confidentiality Obligation
Each party undertakes to maintain the confidentiality of all information and data exchanged under this Agreement and not to disclose it to any third party without prior written consent from the other party.
7.2 حماية البيانات
تلتزم الشركة بحماية بيانات المستخدم وفقًا لأفضل الممارسات التقنية والقوانين السعودية المتعلقة بحماية البيانات الشخصية.
7.2 Data Protection
The Company is committed to protecting user data in accordance with best technical practices and the applicable data protection laws of the Kingdom of Saudi Arabia.
7.3 استثناءات السرية
لا ينطبق الالتزام بالسرية على المعلومات التي:

The confidentiality obligation does not apply to information that:
المادة (8): شروط الدفع والاشتراك
8.1 نظام الاشتراك
يُقدَّم الترخيص بنظام اشتراك شهري أو سنوي وفق الخطة التي يختارها المستخدم عند التسجيل.
8.1 Subscription System
The License is offered on a monthly or annual subscription basis according to the plan selected by the Licensee upon registration.
8.2 طرق الدفع
يتم السداد عبر الوسائل الإلكترونية المعتمدة من الشركة، ولا يُعتبر الاشتراك مفعلًا إلا بعد استلام المبلغ في حساب الشركة البنكي أو بوابات الدفع الرسمية.
8.2 Payment Methods
Payments shall be made through the electronic methods approved by the Company, and the subscription shall not be considered active until the payment is received in the Company’s bank account or official payment gateway.
8.3 عدم استرداد المبالغ
لا تُسترد المبالغ المدفوعة بعد تفعيل الاشتراك إلا إذا ألغت الشركة الخدمة لأسباب فنية قاهرة لا تتعلق بالمستخدم.
8.3 Non-Refund Policy
Payments are non-refundable once the subscription is activated unless the Company cancels the service due to technical reasons beyond the Licensee’s control.
8.4 الأسعار والباقات
تعتمد الأسعار على عدد الموظفين المسجلين في النظام.
وفي حال تجاوز عدد الموظفين الحد الأقصى للباقة الحالية، يلتزم المستخدم بطلب ترقية الاشتراك إلى الباقة الأعلى التي تتناسب مع عدد الموظفين الفعلي.
تُقسم الباقات على النحو الآتي:
تُحتسب الأسعار وفقًا للباقات المعتمدة من شركة كاي لحلول الأعمال (CHI Business Solutions)، ويجوز للشركة تعديل الأسعار أو شروط الباقات بعد إشعار المستخدمين رسميًا عبر البريد الإلكتروني قبل (30) يومًا من تطبيق التعديل.
8.4 Pricing and Subscription Packages
Pricing is determined based on the number of employees registered in the System.
If the number of employees exceeds the limit of the current package, the Licensee is required to upgrade to the higher package corresponding to the actual number of employees.
Packages are categorized as follows:
Prices are calculated according to the official pricing structure set by CHI Business Solutions. The Company reserves the right to modify prices or package terms with at least thirty (30) days’ prior written notice to all users via email.
المادة (9): الضمان وحدوده
9.1 ضمان الأداء
تضمن الشركة أن النظام يعمل وفق المواصفات المعلنة في وثائقها الرسمية وأنه خالٍ من العيوب الجوهرية في البرمجة.
9.1 Performance Warranty
The Company warrants that the System will operate according to its official documentation and is free from material programming defects.
9.2 حدود الضمان
ينحصر الضمان في إصلاح الأخطاء أو الأعطال الناتجة عن عيوب النظام فقط، ولا يشمل المشكلات الناتجة عن سوء الاستخدام أو بيئة تشغيل غير مناسبة.
9.2 Warranty Limitations
The warranty is limited to correcting errors or defects inherent in the System and does not cover issues caused by misuse or unsuitable operating environments.
9.3 استثناءات الضمان
لا يشمل الضمان الأعطال الناتجة عن تدخلات المستخدم في الكود البرمجي، أو استخدام إضافات غير معتمدة، أو انقطاع الخدمات الخارجية مثل الإنترنت أو الكهرباء.
9.3 Warranty Exclusions
The warranty does not cover failures resulting from user interference with the source code, use of unauthorized add-ons, or external service interruptions such as internet or power outages.
المادة (10): القانون الواجب التطبيق وتسوية النزاعات
10.1 القانون المعمول به
تخضع هذه الاتفاقية وتُفسر وفقًا لأنظمة المملكة العربية السعودية.
10.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
10.2 تسوية النزاعات
في حال نشوء أي نزاع بين الطرفين بشأن تفسير أو تنفيذ هذه الاتفاقية، يتم حله وديًا خلال ثلاثين (30) يومًا، وفي حال تعذر ذلك يُحال النزاع إلى المحاكم المختصة في المملكة العربية السعودية.
10.2 Dispute Resolution
In the event of any dispute arising between the parties regarding the interpretation or execution of this Agreement, it shall be resolved amicably within thirty (30) days. Failing that, the matter shall be referred to the competent courts in the Kingdom of Saudi Arabia.
المادة (11): الإشعارات والتواصل الرسمي
11.1 وسائل الإشعار
تُرسل جميع الإشعارات والمراسلات الرسمية المتعلقة بهذه الاتفاقية عبر البريد الإلكتروني الرسمي فقط.
11.1 Notices
All notices and official communications related to this Agreement shall be sent exclusively via official email.

المادة (12): أحكام ختامية
12.1 قابلية الفصل
إذا تبين أن أي بند من بنود هذه الاتفاقية غير قابل للتنفيذ، فإن ذلك لا يؤثر على صلاحية باقي البنود.
12.1 Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
12.2 الاتفاق الكامل
تشكل هذه الاتفاقية الاتفاق الكامل بين الطرفين وتلغي جميع التفاهمات أو الاتفاقات السابقة سواء كانت شفهية أو مكتوبة.
12.2 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether oral or written.
12.3 التعديلات
لا يجوز تعديل هذه الاتفاقية إلا بموافقة خطية موقعة من كلا الطرفين.
12.3 Amendments
No modification of this Agreement shall be valid unless made in writing and signed by both parties.
12.4 النفاذ
تدخل هذه الاتفاقية حيز التنفيذ من تاريخ قبول المستخدم لشروط الترخيص إلكترونيًا أو عند أول استخدام فعلي للنظام، أيهما أسبق.
12.4 Effectiveness
This Agreement becomes effective upon the Licensee’s electronic acceptance of its terms or upon first actual use of the System, whichever occurs first.
